“Abercrombie is unique for a few reasons,” says Greg Arnold, a principal at Semler Brossy. For one, he points to the company’s say-on-pay votes. Abercrombie received 56% shareholder backing in its 2011 say-on-pay vote, but that fell to 25% in 2012 and 20% last year. This past December, the company disclosed an overhaul of Jeffries’ pay, and this year’s vote drew 96% support.
Arnold notes that any company with multiple years in a row of low say-on-pay support could be at risk of scrutiny.
